Terms of Sale

1. Acceptance

By placing an order with Vincerra Labs ("Vincerra," "we," "us"), you ("Buyer") agree to these Terms of Sale. If you do not agree, do not order.

2. Research use only

All products are sold strictly for in-vitro laboratory research use only (RUO). They are not for human or animal consumption, and are not drugs, foods, cosmetics, supplements, or medical devices. They are not intended to diagnose, treat, cure, or prevent any disease. Products are not approved by the FDA or any regulatory body for human or veterinary use.

3. Buyer eligibility & verification

Orders are accepted only from qualified research users. Every order is subject to credential verification by our team — including government photo ID, work/institutional ID, and a description of the research project — before it is confirmed. We may decline or cancel any order at our discretion. Buyer affirms the material will be used solely for lawful laboratory research.

4. Orders, pricing & payment

Submitting the order form creates an order request, not a completed sale. No payment is taken at submission. After verification, we confirm availability, current lot, and total (including any discount and shipping), and issue a payment link. Prices are subject to change until an order is confirmed.

5. Shipping

Products ship after payment clears, cold-chain where applicable, with COA and SDS. Title and risk of loss pass to Buyer on delivery to the carrier. Buyer is responsible for providing an accurate, permitted shipping address.

7. Buyer responsibilities & compliance

Buyer is solely responsible for handling, storage, use, and disposal in accordance with all applicable federal, state, and local laws and institutional requirements, and for ensuring the products are lawful to purchase, possess, and use in Buyer's jurisdiction.

8. No warranties

Products are provided "as is" for research use. To the fullest extent permitted by law, Vincerra disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. Documentation relates only to the lot tested.

9. Limitation of liability

To the fullest extent permitted by law, Vincerra is not liable for any indirect, incidental, or consequential damages, and total liability for any claim shall not exceed the amount paid for the product at issue.

10. Indemnification

Buyer agrees to indemnify and hold Vincerra harmless from any claim arising out of Buyer's use, misuse, handling, or resale of the products, or violation of these Terms or applicable law.

11. Governing law
